Website and Service Description

The Service enables users to access and use a variety of educational services, including language learning and practice. Lingovato may, at its sole discretion and at any time, update, change, suspend, improve, or discontinue any aspect of the Service, temporarily or permanently.

Acceptable Use of the Services
You are responsible for your use of the Services and for any use of the Services made using your account. Our goal is to create a positive, helpful, and safe user experience. To further this goal, we prohibit certain types of behavior that may be harmful to other users or to us. When using the Services, you must comply with our Community Guidelines.

Additional Terms
Some of our Services are subject to additional terms and conditions (“Additional Terms”). When Additional Terms apply to a Service, we will make them available for you to read while using that Service. By using that Service, you agree to the Additional Terms.

Registration
In connection with registering for and using the Service, you agree to (1) provide accurate, current, and complete information about yourself and/or your organization as requested by Lingovato; and (2) maintain the confidentiality of your password and other information related to the security of your account. (3) By maintaining and promptly updating any registration information you provide to Lingovato, to ensure its accuracy, timeliness, and completeness; and (4) By being fully responsible for all use of your account and for any actions taken through your account.

Your Representations and Warranties
You represent and warrant to Lingovato that your access to and use of the Service will be in accordance with these Terms and Conditions and all applicable laws, rules, and regulations in the United States and any other relevant jurisdiction, including those relating to online conduct or acceptable content, and those relating to the transmission of data or information originating from the United States and/or the jurisdiction in which you reside.

You further represent and warrant that you have created or own any materials you submit through the Service (including activity materials and content) and that you have the right, as applicable, to grant us a license to use such materials as described above or the right to assign such materials to us as described below.

You represent and warrant that you are not: (1) regulated by the laws of a country or territory subject to comprehensive economic or trade sanctions by the United States (i.e., a blockade), or operating from or ordinarily resident in such country or territory; (2) listed on a blocked or restricted persons list, such as the U.S. Department of the Treasury’s Specially Designated Nationals and Blocked Persons List; or (3) subject to U.S. sanctions in any other way.

Submission of Content
As a condition of submitting any ratings, reviews, information, data, text, photographs, audio clips, audiovisual works, translations, flashcards, or other materials on the Service (collectively, the “Content”), you hereby grant Lingovato a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, transferable, and sublicensable license to use, reproduce, copy, adapt, modify, combine, distribute, publicly display, and create derivative works from the Content; incorporate the Content into other works; and sublicense the Content across multiple levels. You acknowledge that this license cannot be terminated by you once you have submitted your content to the Service. You acknowledge that you own or have been granted all legal rights necessary for the use of the content you have submitted by you, by Lingovato, and by others, as described and implied in these Terms and Conditions.

You understand that other users will have access to the content and that they, or Lingovato, are not obligated to you or any other person to keep the content confidential.

You will not upload, display, or otherwise make available on or through the Service any content that: (1) is defamatory, libelous, abusive, threatening, harassing, hateful, obscene, or otherwise violates any law or the rights of any third party (including copyright, trademark, privacy, publicity, or other personal or proprietary rights); (2) is considered, in Lingovato’s sole discretion, objectionable, restricts or prevents any other person from using the Service, or may expose Lingovato or its users to any harm or liability of any kind; or (3) violates Lingovato’s Community Guidelines. Lingovato Indemnification
You agree to defend, indemnify, and hold harmless Lingovato, its directors, officers, employees, contractors, agents, suppliers, licensors, successors, and assigns from and against any losses, claims, causes of action, liabilities, liabilities, or damages of any kind, including attorneys’ fees, arising out of or related to your access to or use of the Service, any false representation of us (whether as part of these Terms and Conditions or otherwise), your breach of any of these Terms and Conditions, or any claim that any translation we provide to you is inaccurate, inappropriate, or defective in any way.

Application License
Subject to the terms and conditions of these Terms and Conditions, Lingovato grants you a non-transferable, non-exclusive license to download, install, and use one copy of each application in the form of subject code only on an interactive wireless device operating on a system that you own or control.
You may not extract or attempt to extract the source code of all or any part of any application, or allow any third party to extract or attempt to extract such source code, or reverse engineer, decompile, disassemble, or translate any application or any part thereof. Lingovato and its licensors own and retain all intellectual property and other rights in the applications and any changes, modifications, or corrections thereto.

The following terms and conditions apply to you only if you use the applications from the Apple App Store.

To the extent that other terms and conditions of these Terms and Conditions are less restrictive than or conflict with the terms and conditions of this paragraph, they shall apply.
